Terms of Service

These Terms of Service ("Terms") govern your use of the SupplyKit application ("the App") provided by NerdLabs ("we," "us," or "our"). By installing or using SupplyKit, you agree to these Terms.

1. Service Description

SupplyKit is a Shopify application, embedded in the Shopify admin, that suggests what stock to reorder from a store's recent sales, stock levels and supplier lead times; lets a merchant manage suppliers and create purchase orders (as PDFs, or emailed to the supplier on paid plans); and adds received stock to the store's Shopify inventory. On the Pro plan it also calculates landed cost, can update Shopify's cost per item, and provides reports.

2. Account and Eligibility

• You must have an active Shopify store to use SupplyKit.
• You must have the authority to grant SupplyKit access to your Shopify store.
• You are responsible for the suppliers, prices and purchase orders you and your staff enter, including their accuracy, and for the quantities you receive into your inventory.
• You are responsible for the security of your Shopify account and for who on your staff can access the App.

3. Pricing and Billing

• SupplyKit offers a Free tier, free forever: 2 suppliers, 3 open purchase orders, reorder suggestions, PO PDFs and receiving into stock.
• The Micro tier is $3.99/month and adds unlimited suppliers, 25 open purchase orders, and emailing purchase orders to suppliers.
• The Pro tier is $19.99/month and adds unlimited purchase orders, receiving at any location, landed cost and cost-per-item updates, and reports with CSV export.
• Paid tiers are billed through Shopify's billing system. A 7-day free trial applies to your first paid subscription.
• You may change or cancel your plan at any time through Shopify.
• We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code from the App
• Use automated systems to scrape or extract data from the App beyond normal use
• Resell, sublicense, or redistribute access to the App
• Interfere with or disrupt the App's infrastructure

5. Data and Privacy

Your use of SupplyKit is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described therein. SupplyKit stores no customer (buyer) personal data.

You retain ownership of all your store data and the supplier and purchase-order information you enter. We claim no ownership rights over your data.

6. Third-Party Services

SupplyKit runs on Shopify's platform and APIs. Your use of the App is also subject to the Shopify Terms of Service. We are not responsible for the availability, accuracy, or policies of third-party services.

7. Accuracy of Information

SupplyKit works with the information in your store and what you enter. While we strive for reliability:

• Suggestions depend on your recorded sales, stock levels, lead times and settings, and on how recently the app read them from Shopify.
• Stock you receive is added to your Shopify inventory as entered; check quantities before receiving.
• Emails to suppliers are delivered by a third-party email provider and may be delayed or filtered by the recipient's mail system.

8. Limitation of Liability

To the maximum extent permitted by law:

• SupplyKit is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
• We are not liable for stockouts, overstock, supplier disputes, lost sales, or other business losses arising from the use of, or reliance on, the App.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime.

10. Termination

• You may terminate your use at any time by uninstalling the App from your Shopify store.
• We may suspend or terminate your access if you violate these Terms.
• Upon termination, your access tokens are deleted immediately and the data held by the App will be deleted within 30 days per our Privacy Policy.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance. We will notify you of material changes via the App or email.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration if necessary.
